Ellah Fashion House · Accra, Ghana
Terms & Conditions of Sale
These Terms & Conditions form the legal contract between you and Ellah Fashion House when you browse our website, create an account, or place an order. They set out the rules for using the Site, how orders are formed and paid for, who owns our designs and imagery, and the law that governs it all. Please read them before shopping with us.
1. Acceptance of Terms
By accessing, browsing, or otherwise using ellahfashion.com or shop.ellahfashion.com (the “Site”), creating a customer account, placing an order, or otherwise interacting with us, you confirm that you have read, understood and agree to be legally bound by these Terms & Conditions, our Privacy Policy, our Refund, Return & Cancellation Policy, and our Shipping & Delivery Policy. Together, those documents form the entire agreement between you and Ellah Fashion House in relation to your use of the Site and any purchase you make through it.
If you do not agree with any part of these terms, you must stop using the Site immediately and must not place any order. If you have already placed an order and then wish to withdraw, please contact us at info@ellahfashion.com.
We may update these terms at any time. Where a change is material to your rights, we will give you reasonable notice before it takes effect. Continued use of the Site after a change constitutes acceptance of the revised terms. If you are using the Site on behalf of a business, you confirm that you are authorised to bind that business, and “you” refers to that business.
2. Eligibility & Account Creation
2.1 Age requirement
You must be at least 18 years old to create an account, place an order, or enter into any contract with Ellah Fashion House. By confirming that you are 18 or older, or that you hold valid parental or guardian consent and are acting with that consent, you warrant that this is true. Where a purchase is made by a minor under 18 without valid consent, we may cancel the order and refund it in full.
2.2 Account rules
An account is optional — you may place an order as a guest. If you choose to register, you agree that:
- The information you provide is accurate, current and complete, and you will keep it updated.
- You are responsible for all activity that occurs under your account, including any activity by someone else to whom you have given your password.
- You must keep your password confidential and notify us immediately at info@ellahfashion.com if you believe it has been compromised.
- Passwords must be strong and unique. We store passwords only as salted, one-way hashes and will never ask you for your password by email, phone or WhatsApp.
- You may not use the Site through a shared or public computer without logging out afterwards, and you must not resell or distribute our goods to third parties without a written resale agreement from us.
- We may suspend or close an account at our discretion where we reasonably suspect fraud, abuse, or breach of these terms. Where we suspend an account, we will tell you why where it is lawful to do so.
3. Products & Pricing Integrity
3.1 Product presentation
We take care to photograph and describe every item accurately, including its fabric, weight, cut, colour and fit. However, you acknowledge that:
- Photography, lighting and screen calibration mean the colour you see on your device may vary slightly from the physical garment, particularly between screens. Natural fabrics may also show subtle batch-to-batch variation in shade and texture, which is a feature of the material rather than a fault.
- Product photography may include the model, styling, props or setting. Only the garment described in the product listing is supplied; accessories shown for styling purposes are not included unless expressly stated.
- Measurements are taken in centimetres and are approximate, typically within 1–2 cm tolerance. Where a garment is not machine-standardised — in particular Laurex & Co bespoke and tailored pieces — we rely on the measurements you submit or agree with you on fit before production begins.
- We may withdraw or correct any listing at any time, including where a price has been listed in error, a garment has sold out, or a description contains a typographical or manufacturing error.
3.2 Prices and currency
Prices are displayed in Ghanaian cedis (GHS) unless you select another currency. Prices include applicable VAT where we are required to charge it, but exclude delivery charges and any import duties or taxes payable in the destination country (see our Shipping & Delivery Policy). Delivery charges are never displayed or hardcoded on this site: they are communicated and agreed directly with you before you confirm payment.
We may change prices at any time without prior notice. However, where we have clearly displayed an incorrect price and you could reasonably have recognised the error — for example a price set far below our normal range or a technical pricing fault — we are not obliged to supply the item at that price. In that situation we will contact you, give you the option to confirm the correct price, and refund you in full if you prefer not to proceed.
3.3 Availability
All products are subject to availability. We may limit quantities per customer where a garment is in limited production, and we may discontinue any item at any time. If a garment sells out after you place an order but before dispatch, we will tell you and refund you in full.
3.4 Brand-specific notes
- Ellah Fashion (Affordable Wear) — mass production lines. Small variances between production runs are normal and do not constitute a fault.
- Orenza (Everyday Wear) — workwear and everyday staples built for repeat use; we provide care instructions with each item.
- Laurex & Co (Luxury Wear) — small-batch, hand-finished and bespoke pieces. These may carry slight, deliberate variations that are part of their character, and sizes or colours may be limited or made to order.
4. Orders & Payment Terms
4.1 Order confirmation
Placing an order on the Site is an offer to purchase. A contract of sale is formed only when we send you a dispatch confirmation email confirming that your order has been packed and sent. We may refuse or cancel any order — with a full refund of any amount already paid — if:
- The item is out of stock or unavailable.
- The listed price or description contained an obvious error that could reasonably have been recognised by you.
- We cannot verify your identity, your payment, or your delivery address.
- We have reasonable grounds to suspect that the order is fraudulent, involves stolen payment instruments, or is placed for resale or export without our agreement.
- The delivery address is a freight forwarder, post office box or other forwarding service for an international order we cannot support.
- A product listing contains a clear pricing error caused by a system fault, or the order is unusually large and we need to verify it with you first.
Where we cancel for any of these reasons we will notify you within 2 business days and refund any payment received in full.
4.2 Accepted payment methods
We accept the following payment methods:
- Mobile Money — MTN MoMo, Telecel Cash, AirtelTigo Money and AT Money, authorised through the provider’s secure checkout.
- Debit and credit cards — Visa, Mastercard and other cards supported by our payment gateway.
- Bank transfers — direct transfer to our Ghanaian bank account. Add your order number as the reference. Orders paid by bank transfer are dispatched only once the funds have cleared and the transfer has been confirmed.
Payment security
All payments are processed over an encrypted connection. Ellah Fashion House never receives or stores your full card number, CVV, Mobile Money PIN, or online banking credentials. We will never ask you to send any of these by email, SMS or WhatsApp. If anyone claiming to be from Ellah asks you for them, do not comply — contact us immediately on +233 553 539 435.
4.3 Prices, invoices and payment timing
- Payment is due at checkout. For bank transfers, payment must be received within 48 hours or the order may be released and the stock resold.
- Your invoice is issued once payment is confirmed. Where applicable, VAT is shown separately.
- Payment must be made in full. We do not offer partial payments, lay-by plans or deferred payment unless specifically agreed in writing.
- All bank and transaction charges are the customer’s responsibility unless expressly stated otherwise in writing.
5. Delivery, Risk & Transfer of Title
Delivery timelines are set out in full in our Shipping & Delivery Policy, which forms part of these terms. Delivery charges are not fixed anywhere on this site: they are communicated and agreed directly with you when you place your order, or determined case by case between the delivery rider, Ellah Fashion House and you.
- Delivery is to the address you provide at checkout. Please check it carefully — we are not liable for failure to deliver caused by an incorrect or incomplete address.
- Risk in the goods passes to you on delivery, or when you (or someone you have authorised) takes possession of them.
- Title in the goods passes to you once we have received payment of the full amount due.
- Any estimated delivery date is a guide rather than a guarantee. Where a delay is caused by a third-party courier, by events beyond our reasonable control (including weather, customs delays, port congestion, strikes, or civil unrest), or by any incomplete information you supplied, we are not in breach of these terms.
6. Returns, Refunds & Cancellations
Your contractual and statutory rights in respect of returns, refunds, exchanges and cancellation are set out in our Refund, Return & Cancellation Policy, which forms part of these terms. In summary, you may cancel your order within the return window, and you have statutory rights if goods are faulty, misdescribed or not as advertised. Nothing in these terms limits your statutory rights as a consumer.
7. Intellectual Property Rights
All intellectual property rights in the Site and in everything published on it are owned by or licensed to Ellah Fashion House. We regard them as valuable assets and we protect them strictly.
7.1 Our rights
The following are our exclusive property, protected by copyright, trade mark, design and passing-off law, including the laws of Ghana, the United Kingdom and the European Union:
- Trade names and brand names — “Ellah Fashion House”, “Ellah Fashion”, “Orenza”, “Laurex & Co”, “Laurex”, and any associated logos, wordmarks and house labels.
- Logos, monograms and visual identity — including the gold logo mark, colour palette, typographic styling, taglines and overall look and feel of the Site.
- Original garment designs and patterns — all sketches, patterns, blocks, tech-packs, prints, graphics, embroidery and embellishment designs, whether or not they are registered.
- Product photography and video — all studio, campaign, lookbook, flat-lay and behind-the-scenes imagery appearing on the Site.
- Written and editorial content — all product descriptions, care instructions, sizing guides, lookbook text, articles and editorial copy, and the text of the Site itself.
- Site code and software — the layout, HTML, CSS, JavaScript, database structure, and the underlying software and design of the shopping experience.
7.2 What you may and may not do
You may:
- View, download and print our content for your own personal, non-commercial use.
- Share links to our pages and quote short extracts from our product descriptions for review or commentary, provided you do not misrepresent the quotation or imply endorsement.
You must not, without our prior written permission:
- Copy, reproduce, republish or resell our content, designs, images, patterns or photography — including by scraping, bulk downloading or automated tools.
- Use any of our names, logos or brand marks in your domain name, company name, social media handle, advertising, or search engine keywords.
- Produce, sell or distribute garments that copy, imitate or are substantially derived from our original designs, prints or patterns, whether for personal or commercial use.
- Remove or alter any copyright, trade mark or attribution notice, or use our content in a way that suggests endorsement.
- Frame, mirror or embed the Site without our written consent.
Any unauthorised use described above may infringe our intellectual property rights and may result in us terminating your account, seeking an injunction, and claiming damages.
8. Acceptable Use of the Site
You agree not to use the Site to:
- Upload or transmit viruses, malware, worms, or any code designed to harm, disrupt or gain unauthorised access to the Site, our systems, or another user’s device.
- Attempt to gain unauthorised access to any account, server or network, or to test the security of the Site without our prior written permission.
- Place orders using false, fraudulent or misleading information, or use multiple accounts to manipulate promotions, discounts or reviews.
- Post or transmit content that is unlawful, defamatory, threatening, abusive, discriminatory, or infringes another person’s rights.
- Interfere with the operation of the Site, including by introducing denial-of-service traffic, or by using automated means to scrape content or place orders.
- Misrepresent your identity or affiliation, or impersonate anyone else.
We may monitor the Site for security and fraud-prevention purposes and may suspend access where we reasonably suspect a breach of this section.
9. Limitation of Liability & Indemnification
9.1 Limitation of liability
Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded under Ghanaian law, the Consumer Protection Act, 1998 (Act 537) or the law of the country in which you live.
Subject to that, and to the fullest extent permitted by law, we are not liable for:
- Any indirect or consequential loss, loss of profit, loss of income, loss of opportunity, loss of goodwill, or loss of anticipated savings, however arising.
- Any loss arising from website downtime, interruption, suspension or unavailability of the Site, or of any linked or third-party service, including during maintenance, upgrades or circumstances beyond our reasonable control. We recommend placing orders early where a date is important.
- Any delay, loss, damage or non-delivery caused by a third-party courier or logistics provider (including our domestic partner, DHL, FedEx and local delivery agents), or by customs authorities, port congestion, weather, strikes, civil unrest, epidemic, or acts of God. Our liability for any parcel we hand to a courier is limited to the delivery of the parcel in accordance with our reasonable instructions.
- Any loss arising from information you submit to us — including an incorrect email address, phone number or delivery address — that causes a failed or misdirected delivery.
- Any failure to deliver an order made in error where the error was obvious from the checkout or order confirmation details.
- Any content or conduct on third-party websites that we link to, including social media platforms. We do not control or endorse them.
- Any wear, misuse, alteration, improper washing or negligent handling of a garment after delivery, where this causes the damage.
Where the law does not permit the exclusion of implied warranties, or does not permit the limitation of certain implied terms, nothing in these terms affects those terms and our liability is limited to the minimum permitted by law.
9.2 Indemnification
You agree to indemnify, defend and hold harmless Ellah Fashion House, its directors, officers and employees, from and against any claim, damage, loss, expense (including reasonable legal fees) or liability arising from: your breach of these terms; your infringement of any third party’s intellectual property rights through your use of the Site; your unlawful or fraudulent use of the Site; or your provision of false or misleading information in an order.
10. Governing Law & Dispute Resolution
These Terms & Conditions and any dispute or claim arising out of or in connection with them or with any purchase you make through the Site — whether contractual or non-contractual, including any question of validity, interpretation or enforcement — are governed by and construed in accordance with the laws of the Republic of Ghana, without regard to its conflict of laws rules.
10.1 Jurisdiction
The courts of Ghana have exclusive jurisdiction over any dispute arising from these terms or from any purchase made through the Site, and both you and Ellah Fashion House submit to the jurisdiction of those courts. This does not affect any mandatory right of a consumer to bring proceedings in the courts of the country in which they reside or are domiciled where they are entitled to do so under applicable law.
10.2 Informal resolution first
Before starting proceedings, we ask that you raise the matter with us first. Most disputes are resolved quickly by email. Please contact info@ellahfashion.com or WhatsApp +233 553 539 435 with your order number and the details of the problem, and we will respond within 5 business days.
10.3 Escalation procedure
- Direct resolution. Email or WhatsApp resolution with our customer care team (5 business days).
- Internal review. If you are not satisfied, ask for the matter to be escalated to our returns manager or director, who will review the case afresh and respond within 7 business days.
- Mediation. At any stage, and before litigation, both parties agree to attempt resolution through a mutually agreed independent mediator. The cost of mediation is shared equally unless we agree otherwise.
- Proceedings. Where the matter remains unresolved, either party may commence proceedings in the Ghanaian courts. We will consider using the Ghana Alternative Dispute Resolution Commission where appropriate.
11. General Provisions
- Entire agreement. These terms, together with the other policies linked at the top of this page, constitute the entire agreement between us and supersede all prior communications, proposals or representations, whether written or oral.
- Severance. If any provision of these terms is held to be invalid or unenforceable, the remaining provisions continue in full force, and the invalid provision will be modified to the minimum extent necessary to make it valid.
- No waiver. A failure by us to enforce any provision does not constitute a waiver of that provision or of any other provision.
- Assignment. You may not assign or transfer your rights under these terms without our written consent. We may assign our rights and obligations to a successor business, for example on a sale of the business or part of it, provided your rights are not reduced.
- Third party rights. No person other than you and Ellah Fashion House has any right to enforce these terms.
- Force majeure. We are not in breach of these terms where performance is prevented by circumstances beyond our reasonable control, including natural disaster, war, pandemic, government action, or failure of a public utility or telecom network.
- Personal data. Our Privacy Policy explains how we handle your personal data and is incorporated into these terms.
- Accessibility and language. These pages are available in English. Where a translation is provided for convenience, the English version prevails.
